We assist with planning and the implementation of various steps in the process, everything from confidentiality agreements and letters of intent to due diligence and negotiating and executing contracts including, for example, escrow agreements and M&A insurance. In connection with these transactions, questions may arise in various legal areas, for example, tax and environment. Investments in Sweden within certain sectors that are closing on December 1, 2023, or later are subject to a mandatory notification obligation to the supervisory authority. The consequence if the supervisory authority decides to screen the transaction may be that the transaction is prohibited. The regulations apply to, inter alia, transfers of shares, assets and real estate. We advise on the regulation regarding foreign direct investments (FDI) and assist in drafting contracts with regard to the regulation.
